You just need to keep it out of the interior. Either mount it under the floor, or in the engine compartment (although that would be a long hose run to the tanks.)

create a box of 3/4" mdf plywood around it. inside I would insulate it with dynamat and egg cartons (this is how inexpensive soundproofing rooms is done). if you want to pretty it up you could carpet the box (this would even help dampen the sound further) or do something really cool like frosted plexiglass or a custom fiberglass coating over the box and paint it...or like steve said, just move it to the outside of the vehicle, this would be the quietest solution.

The problem with putting it in a box is that you need an opening in the box for fresh air, otherwise 1) the compressor will have no air to compress, and 2) the compressor will overheat. The issue with that is, the sounds will now exit through the hole, so no matter how 'sound proof' your box is, it wont matter once you cut a big hole it in for air.
Just put the compressor under the car.

Put the compressor under the car on the rear left side, right behind the bumper. There's tons of room over there. It's the spot that the muffler occupies on the rear right, just on the left.

if i put it out side of the car, wouldn't the snow, rain, dirt effect the performance ?
as for putting it inside, i can have remote air intake, but i would have no idea how to keep it cool,
